Overview

The Corporate Counsel – Benefits Administration & Service Contracts serves as a legal advisor on matters related to group health plan administration. The role involves ensuring compliance with various laws and standards, and requires extensive experience in health plan design and contract negotiation.

Key Responsibilities

• Negotiate and draft client, vendor, and partner contracts, including agreements with TPAs, PBMs, and insurance providers.
• Provide legal counsel on the design and administration of health and welfare benefit plans.
• Ensure compliance with ERISA, HIPAA, ACA, COBRA, and relevant state insurance requirements.
• Draft, review, and maintain plan documents and participant communications.
• Respond to and resolve benefits-related disputes, claims, and appeals.
• Monitor legislative and regulatory developments affecting health and welfare benefits.
• Support audits and investigations related to benefits administration.
• Provide education and training on fiduciary obligations and compliance requirements.
• Participate in special projects and other legal initiatives as assigned.

Requirements

• Juris Doctor (J.D.) degree from an accredited law school.
• Active license to practice law in a U.S. state.
• 5 to 10 years of legal experience in health and welfare benefits, ERISA matters, and contract negotiation.
• In-house counsel experience focusing on employee benefits preferred.
• Deep knowledge of ERISA, HIPAA, ACA, COBRA, and IRS regulations.
• Strong understanding of fiduciary responsibilities under ERISA.
• Exceptional legal drafting and negotiation skills.
• Strong technical proficiency with Microsoft Office and collaboration platforms.
