    Overview

    Blockchain is seeking an experienced Stock Plan Administrator to manage its global equity programs. This role is essential in ensuring the accuracy, compliance, and scalability of stock administration during a significant period of growth for the company.

    Key Responsibilities

    • Manage the day-to-day administration of the company’s global equity plan (stock options, RSUs, etc.) on the Carta platform.
    • Process all equity-related transactions, ensuring accuracy and timeliness.
    • Lead preparation and execution of equity administration during the company’s transition to a public entity.
    • Develop and implement public company processes, including trading window administration and pre-clearance procedures.
    • Serve as the primary contact for all equity awards and company policies.
    • Collaborate with Legal, HR, and Finance teams for data flow related to payroll and financial reporting.
    • Prepare and reconcile equity data for reporting and public filings.
    • Partner with vendors to maintain a robust public company stock administration infrastructure.
    • Develop educational materials to help employees understand their equity value.
    • Ensure compliance with applicable securities laws and regulations.

    Requirements

    • 5-8 years of direct experience in stock plan administration.
    • Experience managing equity plans during a company’s transition to public (IPO, SPAC, or direct listing).
    • Deep expertise with equity administration platforms, especially Carta.
    • Strong knowledge of SEC regulations, Section 16 filings, and Rule 144.
    • Familiarity with accounting effects of equity compensation plans.
    • Ability to work cross-functionally with Legal, HR, and Finance.
    • Attention to detail and exceptional organizational skills.
    • Excellent communication and interpersonal skills.
    • Advanced proficiency in Microsoft Excel or Google Sheets.
    • Certified Equity Professional (CEP) designation preferred.
