Overview
Lattice is seeking an experienced, business-minded Senior Contracts Manager to lead its commercial contracting function. The role involves independently managing a broad portfolio of customer and vendor agreements and serving as a trusted adviser across various teams in the company.
Key Responsibilities
- Independently draft, review, negotiate, and manage a high volume of commercial agreements.
- Lead negotiations involving SaaS order forms, master services agreements, data processing agreements, service level agreements, and related documents.
- Review and negotiate vendor, supplier, and service-provider agreements.
- Support technology partnerships and strategic marketing relationships.
- Act as a primary contact between Legal and business stakeholders, providing guidance on contract structure and negotiation strategy.
- Exercise independent judgment to resolve matters within established parameters.
- Partner with experts to ensure contractual commitments are feasible and properly tracked.
- Manage concurrent negotiations with strong prioritization and ownership.
- Maintain accurate contract records across relevant systems.
- Identify operational improvements to templates and processes based on negotiation patterns.
- Utilize legal technology tools to enhance contract review and workflow efficiency.
- Develop reporting on contract volume and negotiation trends.
- Stay informed about developments in commercial contracting and related areas.
Requirements
- Five or more years of relevant experience in negotiating commercial technology agreements, preferably in a tech company.
- Ability to manage customer-facing SaaS negotiations independently.
- Experience with technology vendor and procurement agreements.
- Strong commercial judgment to distinguish material risks.
- Familiarity with SaaS contracting issues such as confidentiality and data privacy.
- Strong communication skills to explain complex contract issues.
- Excellent organizational and project-management skills.
- Experience using AI-assisted tools for contract review and analysis.
- Proficiency with Microsoft Word and experience in contract lifecycle management.
