Overview

1Password is seeking a Senior Director, Corporate Counsel to oversee its Corporate Legal function and provide strategic legal guidance across a broad range of matters. This remote position is open to candidates located in the United States and Canada.

Key Responsibilities

• Oversee the legal workstreams for mergers and acquisitions, including due diligence and negotiations.
• Advise on legal considerations and regulatory requirements related to international operations and expansion.
• Manage corporate entities and governance processes.
• Support Finance on various matters, including financial statements and employee equity.
• Review marketing materials for compliance requirements.
• Identify legal risks and develop strategies to mitigate them.
• Manage litigation and intellectual property matters.
• Serve as a trusted legal partner to business leaders.

Requirements

• Jurisd Doctor with active bar membership in Canada or the United States.
• At least 10 years of relevant experience, ideally including work at nationally recognized law firms and technology companies.
• Experience leading mergers and acquisitions.
• Strong knowledge of corporate governance and securities laws.
• Ability to manage external counsel and coordinate cross-functional teams.
• Excellent judgment, communication skills, and attention to detail.
• Pragmatic, collaborative, and solutions-oriented approach.
